Fractional General Counsel

I started this practice to increase access to top tier in-house counsel services for a variety of business ventures. To do that, Wasatch General Counsel operates a fractional general counsel business model, where it provides a variety of services to many different clients across many technology categories, based on the needs of those particular clients.

Overall, my goal for any business relationship is to make the company I work for more valuable. I do this by providing experience in intellectual property strategy, business operations analysis, financing and exit strategies, document management, negotiation strategy, and dispute resolution.

I enjoy helping businesses grow and navigate the challenges of growth.

Areas of Expertise

Intellectual Property Strategy and Licensing

Intellectual property is a core component of any business, but each business’s intellectual property strategy should be unique. I have experience across many technology categories, and assist clients in creating unique strategies that reflect their business model and brand. I’ve prosecuted, litigated, and licensed intellectual property, and can provide you the right strategy – whether you’re developing a strong trademark and brand for a consumer product – developing a hardware patent strategy for a medical device – or negotiating patent and software transactions.

Venture Strategy and Commercial Transactions

A good deal maker understands the strategic context of any given transaction. I work to understand the uniqueness of your business, so each negotiation is well-planned. Whether it’s a venture financing, a commercial transaction, or  corporate governance, I achieve good outcomes because I gain personal understanding of each client’s goals and negotiation power.

Trusts, Estates, and Wealth Transfers

I help clients avoid the challenges of probate by designing trust arrangements that maximize their family’s quality of life, as well as maximize their overall wealth transfer.

Pre-Litigation Dispute Resolution

Let’s face it, sometimes business disputes happen. While I have extensive experience in high value dispute resolution in both state and federal courts, resolving business disputes before litigation is often the most pragmatic option. I prioritize assisting clients in navigating disputes prior to litigation, with connections to seasoned litigators should a more aggressive approach be necessary.
